This, the second of our occasional company law business briefings regarding the Companies Act 2006 (“the Act”), covers new company law in force from 20 January 2007. The key provisions affect all companies, whether public or private, and relate to Directors’ Liability for False or Misleading Statements in Reports (s 463) and the Company Communications Provisions (ss 1143 to 1148 and Schedules 4 and 5). This briefing does not deal with the additional provisions also now in force relating to information about interests in a public company’s shares (broadly, ss 791 to 828).
